GENERAL TERMS AND CONDITIONS OF PARTICIPATION

1. Scope and Application
1.1. These general terms and conditions of participation (“Terms of Participation”) shall apply to all matters pertaining to the participation of attendees (each a “Participant “) in the virtual Garmin Health Webinar Series 2025 (the “Event”) hosted by Garmin Würzburg GmbH (“Garmin“) on the Event Platform Cvent (the “Platform”).

1.2. Differing terms or conditions proposed by Participant do not apply even if Garmin does not explicitly reject them.

1.3. Garmin reserves the right to change the Terms of Participation at any time. Participants shall be informed of material changes by email to the address provided at the time of registration.

1.4. Garmin will be under no obligation to provide Participant with any services except as explicitly set forth herein.

1.5. By registering for the Event, Participant acknowledges and agrees to these Terms of Participation.

1.6. If a third party is completing registration on behalf of Participant, it is the third party’s responsibility to ensure that Participant is aware of these Terms of Participation and has agreed to these Terms of Participation. By completing the registration, the third-party warrants that they have authority to accept these Terms of Participant on behalf of Participant.
 
 
2. Event Participation
2.1. Participant acknowledges and agrees that participation in the virtual Event does not make Participant or any of their associates, agents, business partners, or clients an employee, associate, agent, or business partner of Garmin and that participation at all stages of the Event is completely voluntary.

2.2. Garmin may, in its sole discretion, limit the number of participants for the Event. Participants understand that they are not guaranteed admission to the Event.

2.3. Participant understands that Garmin, its staff, and/or its vendors can record video of the Event to be able to show it on-demand. These recordings remain the sole property of Garmin and its affiliated companies for their own uses, including in marketing materials, such as in videos and pictures online and on invitations for future events.

2.4. Participant is responsible for acting in accordance with applicable laws and regulations and will adhere to all rules, restrictions, policies, or other directions from Garmin, its staff, during participation in the Event, no matter when or how they are communicated to Participant. Garmin reserves the right, at its sole discretion, to remove Participant from the Event for any violation of this section or other poor behavior of Participant.

2.5. Participant acknowledges that Garmin reserves the right to cancel or postpone the Event or restrict access to the Event in its sole discretion, even at short notice. Garmin shall have no liability for any costs or losses associated with cancellation or access restriction or postponement unless otherwise communicated by Garmin in writing.

2.6. Participant acknowledges and agrees that Garmin, in its sole discretion, reserves the right to change any and all aspects of the Event, including, but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, location, service providers, and time.

In case that any such feature is enabled, Participant may receive contact information for other participating attendees through the networking opportunities within the virtual participation in the Event. Participant acknowledges and agrees that this information is only for Participant’suseincommunicatingwithotherattendeesfornetworkingpurposesandmaynotbesoldtoorsharedwithany other person or third party. This includes in particular any potential information that is shared with Participant during the Event’s breakout sessions or other get-togethers at the Event. Participant is responsible for using this information in accordance with all applicable laws, including related to data protection.

3. Potential Costs
3.1. Any and all costs associated with Participant’s attendance (including without limitation any fees, travel, and/or accommodation expenses) shall be borne solely by the Participant, and Garmin shall have no liability for such costs unless otherwise communicated in writing by Garmin.

3.2. In case that there will be any attendance fee for the Event it will be invoiced to Participant upon registration and is due upon the due date of the invoice. If payment is not received by the due date as indicated on the invoice, Garmin may refuse to admit Participant to the Event and shall have no liability in that regard.

3.3. Any attendance fee may be subject to sales tax, value added tax, or any other taxes and duties which, if applicable, will be invoiced to Participant in addition to the attendance fee.

3.4. If Participants cancel their registration within forty-eight (48) hours of registering for the Event, they will be eligible for a refund. Any cancellation after this time will not be eligible for a refund.
 
4. Intellectual Property
4.1. All intellectual property rights in and to the Event, the Event content, and all materials distributed at or created or distributed in connection with the Event (collectively “IP”) are owned by Garmin. Participant may not use or reproduce or allow anyone to use or reproduce the IP or Garmin’s trademarks for any reason without the prior written permission of Garmin.

4.2. For the avoidance of doubt, nothing in these Terms of Participation shall be deemed to vest in Participant any legal or beneficial right in or license to any trademarks or other intellectual property rights owned or used under license by Garmin or any of its affiliates, all of which shall at all times remain the exclusive property of Garmin and/or its affiliates.
 
5. Warranties; Liability
5.1. Garmin gives no warranties in respect of any aspect of the Event, or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing these Terms of Participation, disclaims all implied warranties, including, but not limited to, warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability.

5.2. Other than to the extent required as a matter of law neither Garmin nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with these Terms of Participation or the Event.

5.3. Participant shall be liable without limitation in accordance with the statutory provisions of the law for damages caused by a negligent or intentional breach of any duty by Participant, their legal representatives, or agents, and/or their associates, as well as for damage caused by breaches of contract and fraudulent intent on the part of the Participant, their legal representatives, or agents, and/or their associates. Participant will adhere to all applicable laws and regulations. 

5.4. Participant, especially those participating as speakers at the Event, shall defend, indemnify, and hold Garmin, its affiliates, and their respective officers, directors, employees, representatives, and agents harmless from and against any liability, damage, loss, cost, or expense, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claim by Participants or any third party relative to the Event. Participant shall cover their liability resulting from the fulfillment of these Terms of Participation at their own expense.

6. General
6.1. Participant may not assign or otherwise transfer, by operation of law or otherwise, any of its rights under these Terms of Participation (including Event registration) without Garmin’s prior written consent, and any attempted assignment without such consent will be null and of no effect.

6.2. These Terms of Participation constitute the entire agreement between Participant and Garmin and supersede all prior agreements, communications, and understandings with respect to the Event.

6.3. These Terms of Participation shall be construed in accordance with the laws of Germany. Participant expressly agrees that the United Nations Convention on Contracts for the International Sale of Goods will not apply.

6.4. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Germany, if applicable in Würzburg, Germany, and Participant hereby irrevocably consents to the personal jurisdiction and venue therein.

6.5. If any provision of these Terms of Participation is held invalid or unenforceable by a court of competent jurisdiction, such provision will be construed to be enforceable to the maximum extent permissible by law, and the remaining provisions of these Terms of Participation will remain in full force and effect. The waiver of any breach or default will not constitute a waiver of any other right hereunder or of any subsequent breach or default.

6.6. All notices required or permitted under these Terms of Participation will be in writing and delivered in person, by confirmed facsimile transmission, by overnight delivery service, or by email, and in each instance will be deemed given upon receipt unless otherwise specified.

6.7. All notices will be sent to the addresses set forth in the registration form or to such other address as may be specified by either party in accordance with this Section 6.
